GENERAL TERMS AND CONDITIONS OF USE

(hereinafter the "GCU")

1 – INTRODUCTION AND PURPOSE OF THE GCU

BUNQER SAS is a simplified joint stock company (société par actions simplifiée) registered with the Paris Trade and Companies Register under number 934 358 995 (hereinafter "BUNQER SAS").

BUNQER SAS operates and uses an international platform, called "BUNQER", accessible from all around the world at the URL address https://www.bunqer.tech (the "Platform" as further defined below).

The Platform enables BUNQER SAS to promote and sell to Television Services providers (as defined below), the television broadcasting rights that BUNQER SAS, in turn, acquires from the Sellers (as defined below).

For the sake of clarity and transparency, the GCU (together with the License set out in Appendix I to the GCU) apply both to (i) the sales made by BUNQER SAS to the Television Service providers, and (ii) the purchases made by BUNQER SAS from the Sellers.

Despite its resolutely international coverage, BUNQER SAS refrains from any business relationship with any entity and/or any national from a Blacklisted Country (as this term is defined below). Thus, entities registered in one of the Blacklisted Countries, as well as nationals of these same countries, are expressly and strictly prohibited from using the Platform, which BUNQER SAS ensures by preventing and/or blocking the registration of the persons concerned after checking their KYC.

The Platform is exclusively reserved to the following professional users, after verification of their identity and reputation:

It is specified that BUNQER SAS sells in the first place to the Buyers the television broadcasting rights it buys to the relevant Sellers. As a result, BUNQER SAS acts as a reseller even if the term “marketplace” can be used from time-to-time by BUNQER SAS to make its concept clearer from a marketing and/or commercial standpoint.

The Sellers and the Buyers are together referred to as the "Users", as this term is further defined below.

Transfers of television broadcasting rights through the Platform are always temporary and non-exclusive, each Seller being able to transfer outside the Platform the same rights over the same period to any buyer other than BUNQER SAS, and BUNQER SAS being able to transfer on the Platform the same rights over the same period to several Buyers (within the limit of the rights that BUNQER SAS receives from the Sellers).

The purpose of the GCU is therefore to define the conditions under which Users may access and use the Platform to sell or purchase television broadcasting rights in accordance with the terms and conditions of the License which forms an integral part of the GCU.

The Users undertake to respect, without reservation, the GCU prior to any registration on the Platform and/or any use thereof. Their acceptance must be full and complete.
